Owner's Representative Services Agreement

1 · Parties and project

1.1
This agreement is between the Owner named in Schedule 1 and Vakeel (the Company), operating the Vakeel owner's representative service.
1.2
The services relate to the renovation of the property named in Schedule 1 (the Project). The property reference is confirmed against the title deed before signature.
1.3
Any proposal, tray, website page or conversation is descriptive. The binding scope is this agreement and its schedules, amended only in writing by both parties.

2 · Nature of the role

2.1
Vakeel's role is to attend, observe, review, question, check, verify to the extent reasonably practicable, report and recommend in the interests of the Owner.
2.2
Vakeel is not appointed as, and does not assume the duties of, the architect, interior designer, structural or MEP engineer, engineer of record, statutory or supervising consultant, contractor, construction manager, site safety manager, project manager under the construction contract, quantity surveyor of record or certifying authority.
2.3
Every contractor, designer, consultant, specialist and supplier remains responsible for their own design, workmanship, safety, coordination, programme, statutory obligations and contract. Vakeel's attendance and recommendations are not continuous supervision and do not relieve any party of responsibility.

3 · Independence

3.1
Vakeel acts only in the Owner's interest. Vakeel accepts no commission, referral fee, rebate, undisclosed margin or other financial incentive from any contractor, subcontractor, consultant, supplier or project party.
3.2
Vakeel, its principals and any company under their control shall not tender for, contract for or perform construction, renovation, fit-out or supply works on the Project, directly or through a related party.
3.3
The Owner acknowledges that Vakeel's founder holds an interest in a Dubai fit-out contracting company. That company is barred from the Vakeel contractor panel and does not receive, see or price any Vakeel tender.
3.4
Where a broker or other introducer has referred the Owner to Vakeel, any referral fee paid by Vakeel is disclosed to the Owner in Schedule 1. No referral fee is ever paid to or received from a contractor, designer or supplier.

4 · Services

4.1
The services are those of the package selected in Schedule 1 and the modules listed in Schedule 2, as described on vakeel.ae at the date of signature and reproduced in the schedules.
4.2
Site visits are made on the schedule stated for the package, subject to access and active work on site. Concealed-works inspections (waterproofing, structural works, MEP first fix, drainage and similar) are made before the works are covered, where the contractor gives reasonable notice.
4.3
Vakeel reviews payment applications and variations and gives the Owner a written position (release, hold, or hold in part) with reasons. Vakeel does not approve expenditure or instruct a variation without the Owner's authority.
4.4
Vakeel maintains the Owner's dashboard and project record, including photographs, documents, cost position, programme position, variation register and decision log.

5 · Fees and payment

5.1
The monthly fee for the package and modules is stated in Schedule 1 and Schedule 2, plus VAT at the applicable UAE rate. Fees are invoiced monthly in advance and are payable within seven days.
5.2
Months of active service beyond the agreed baseline programme, where the delay is not caused by the Owner, are billed at the Watch rate stated in Schedule 1, whatever the package.
5.3
One-off modules (brief and target cost, levelled tender, approvals handling, package reviews) are invoiced when instructed. No additional service is charged without the Owner's prior written approval.
5.4
If the Project is suspended for more than fourteen consecutive days, the Owner may pause the subscription. No monthly fee is charged for paused months; a reasonable remobilisation effort may be agreed in advance.

6 · Owner decisions and information

6.1
The Owner provides timely access, information, instructions and decisions. Non-urgent decisions are ordinarily given within five business days of Vakeel supplying the information needed; urgent site or commercial decisions within forty-eight hours.
6.2
Vakeel is not responsible for delay, disruption or additional cost caused by late Owner information, access, approval or decision, except to the extent caused by Vakeel's own breach.

7 · Verified, records and cameras

7.1
"Verified" means seen, measured or tested by a Vakeel representative at the time, with a record kept. It is evidence for the Owner's decisions. It is not a warranty or guarantee of any party's work, price, programme or compliance.
7.2
Project records, photographs and any camera footage belong to the Owner. Vakeel retains them for the defects period plus five years and provides copies on request. Contractors consent to site cameras in the owner-side construction contract. Faces are not used in Vakeel marketing without written consent.

8 · Term and termination

8.1
The agreement runs month to month from the commencement date in Schedule 1. Either party may terminate on fourteen days' written notice. Fees are due only for services performed to the effective date, approved one-off modules already instructed, and properly committed third-party costs.
8.2
Either party may terminate immediately for material breach not cured within fourteen days of written notice. Termination does not affect accrued rights, confidentiality, or the Owner's right to the project record.

9 · Standard of care, reliance and liability

9.1
Vakeel performs the services with the reasonable skill, care and diligence expected of an owner's representative providing services of this nature, and maintains professional indemnity insurance during active service.
9.2
Vakeel may rely on drawings, programmes, BOQs, quotations, valuations, certificates and other information supplied by the Owner and project parties, applying reasonable professional judgement, and raises any material inconsistency it becomes aware of.
9.3
Vakeel does not warrant the contractor's price, final project cost, completion date, workmanship, authority approval or absence of defects, and is not responsible for the acts, omissions, insolvency or default of any independent project party, except to the extent Vakeel fails to perform an express duty under this agreement with the required standard of care.
9.4
Obligations under this agreement are obligations of the Company alone. No personal recourse lies against any individual representative, employee or principal of Vakeel by reason only of their involvement.

10 · Confidentiality, notices, law

10.1
Each party keeps the other's non-public commercial and project information confidential, using it only for the Project, except as required by advisers, insurers, authorities or law.
10.2
Formal notices are sent by email to the addresses in Schedule 1. The dashboard and WhatsApp may be used for routine communication.
10.3
This agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The parties first attempt resolution by senior-level discussion. Jurisdiction and any small-claims route are as stated in Schedule 1 after review by counsel.
10.4
This agreement and its schedules are the entire agreement. It may be signed electronically and in counterparts.
